Terms of service

These Terms of Service ("Terms") govern your use of shop.wholesale.damata.coffee and any wholesale purchase from Damata Coffee Wholesale ("we," "us," "our"). By creating an account, placing an order, or using our Service, you agree to these Terms.

## 1. Wholesale Business Only

Our Service is **for business buyers only**. By creating an account, you represent that:

- You are at least 18 years old
- You operate a legitimate business (coffee shop, food truck, hotel, short-term rental, restaurant, etc.)
- You are authorized to make purchases on behalf of your business
- You are purchasing for **resale or use in your business operations**, not for personal consumption
- You hold (or are exempt from) any required business licenses, food handling permits, and tax registrations in your jurisdiction

**We reserve the right to refuse any application or close any account at our sole discretion**, including if we believe an account is being used for personal/retail purposes outside our intended B2B model.

## 2. Account Approval

Account creation is subject to manual review. We review applications based on:
- Legitimacy of business information provided
- Match with our target customer segments (coffee shops, food trucks, STR operators, hospitality)
- Initial volume estimate
- Geographic feasibility

Approval typically takes 1-2 business days. We may request additional documentation (business license, resale certificate, website verification) before approval. Approval is not guaranteed.

## 3. Pricing and Payment

**Pricing**: Wholesale prices are visible only to approved, logged-in customers. Pricing tiers apply based on order quantity at time of checkout. **Prices are subject to change without prior notice**. Quoted prices on past orders do not bind future orders.

**Payment methods**:
- Credit/debit card (processed by Shopify Payments / Stripe; standard processing fees apply)
- Wire transfer / ACH push (3% discount available with code WIRE3; payment must clear before fulfillment)

**Payment timing**: All orders are paid in full at time of purchase unless we have agreed to alternative terms (NET 30, NET 60) in writing. NET terms are extended at our discretion based on order history, credit verification, and relationship duration.

**Late payment**: Past-due invoices accrue a late fee of 1.5% per month or the maximum allowed by law, whichever is less. We may suspend account access for accounts with past-due balances.

## 4. Roast-to-Order Production

Every order is roasted specifically for that order — we do not ship from inventory. See our [Refund Policy] for cancellation windows and refund eligibility.

## 5. Order Acceptance

Placing an order is an **offer to purchase**, not an agreement. We may accept, modify, or reject any order at our sole discretion, including if:
- Pricing or product information was incorrectly displayed
- Inventory or roasting capacity is insufficient
- Payment verification fails
- The order conflicts with our wholesale policies

Order acceptance is confirmed when we send a written order confirmation.

## 6. Private Label Orders

For private label (custom-branded) orders, you represent and warrant that:
- You own or have rights to any logos, trademarks, or designs you provide
- The artwork does not infringe any third-party rights
- You will not resell our private-label products as our brand (Damata) or in ways that confuse customers about brand origin

You grant us a limited license to use your artwork solely for fulfilling your order. Approved artwork files are stored for repeat orders.

## 7. Resale and Distribution

You may resell our coffee through your business operations (your café, your STR property, your hotel, your retail store, etc.). You may **not**:

- Resell our coffee through third-party online marketplaces (Amazon, eBay, etc.) without written permission
- Misrepresent the origin, roast date, or specifications of the coffee
- Use the Damata name, logo, or trademarks in your own marketing without written permission, except in the limited context of disclosing your supplier when asked

## 8. Trademarks and Intellectual Property

The Damata name, logo, branding, and all content on our Service are our property or used under license. You receive no rights to our intellectual property except as expressly granted by these Terms.

## 9. Limitation of Liability

Coffee is a food product. By purchasing, you accept responsibility for proper handling, storage, and use in your business. We are not liable for:
- Food safety issues arising from improper storage or handling after delivery
- Health reactions of your customers (you are responsible for allergen disclosure)
- Business losses, lost profits, or consequential damages

**Our total liability for any claim arising from your use of our Service is limited to the amount you paid for the specific order in question.** This limitation applies to the maximum extent permitted by law.

## 10. Indemnification

You agree to indemnify and hold us harmless from claims arising from:
- Your resale of our coffee to your customers
- Your use of our coffee in food/beverage operations
- Your private label artwork (IP infringement claims)
- Your breach of these Terms

## 11. Account Termination

We may suspend or terminate your account at any time for:
- Violation of these Terms
- Non-payment of invoices
- Misuse of the Service
- Discontinuation of the Service

You may close your account at any time by emailing **orders@damata.coffee**. Outstanding orders and balances must be settled.

## 12. Modifications

We may update these Terms. Material changes will be communicated by email to active accounts at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.

## 13. Governing Law and Disputes

These Terms are governed by the laws of the State of **Florida**, USA, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Service will be resolved by binding arbitration in **Sun City Center, Florida**, except that either party may seek injunctive relief in court.

You waive any right to participate in class actions or class arbitration.

## 14. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control: natural disasters, supply chain disruptions, pandemic, government action, carrier failures, etc.

## 15. Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

## 16. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, and Shipping Policy, constitute the entire agreement between us regarding your use of the Service.
